Terms of Service

Acceptance of terms
By accessing or using the website at ibg.guru ("Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site. These Terms apply to all visitors and users of the Site. Use of our services is also governed by any separate written agreement (Statement of Work or Service Agreement) entered into between you and IBG CORE LLC.
Services described
IBG CORE LLC ("IBG") provides consulting and software development services including custom software engineering, AI automation, web development, and marketing infrastructure implementation. The Site describes these services and provides a way to initiate contact. No service is implied or provided solely by visiting the Site or submitting the contact form. All services are provided pursuant to individual written agreements as described below.
Engagement and Statement of Work
Each client engagement is governed by a separate written Statement of Work ("SOW") or Service Agreement that defines the scope, deliverables, timeline, pricing, and acceptance criteria for that specific project. These Terms provide the general legal framework within which each SOW operates. In the event of any conflict between these Terms and a specific SOW, the SOW governs for that engagement. No commitment is made by IBG until a written SOW is signed by both parties.
Confidentiality
Both parties agree to keep confidential any non-public information disclosed in connection with an engagement, including business plans, technical specifications, client data, and pricing. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law. Each party will protect the other's confidential information with at least the same degree of care it uses for its own confidential information. This confidentiality obligation survives termination of any engagement.
Intellectual property ownership
Upon receipt of full payment for an engagement, IBG assigns to the client all right, title, and interest in the deliverables created specifically for that client under the applicable SOW, including source code, designs, and documentation. IBG retains ownership of any pre-existing tools, frameworks, libraries, or know-how developed independently and used in the work. Third-party open-source components used in deliverables remain subject to their respective licenses. The specific IP assignment terms for each project are detailed in the SOW.
Payment terms
Payment terms for each engagement are specified in the applicable SOW. IBG typically requires a deposit before work begins, with the remainder due upon milestone completion or project delivery as defined in the SOW. Invoices are due within the period specified in the SOW. Late payments may result in suspension of services. IBG reserves the right to retain deliverables until payment is received in full.
Warranties and disclaimers
IBG warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. IBG does not warrant that deliverables will be error-free or that results will meet any specific business outcome beyond those expressly described in a SOW. The Site and its content are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. IBG does not warrant the accuracy, completeness, or timeliness of information published on the Site.
Limitation of liability
To the maximum extent permitted by applicable law, IBG's total liability to you for any claim arising out of or relating to these Terms or any engagement shall not exceed the fees paid by you to IBG in the three months preceding the claim. IBG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if IBG has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability; in such cases the limitation shall apply to the fullest extent permitted by law.
Governing law
These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and the parties hereby consent to the personal jurisdiction and venue of those courts.
Changes to these terms
IBG reserves the right to update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. For ongoing engagements, changes to these Terms do not modify the terms of an existing signed SOW without the written agreement of both parties.
